TERMS OF USE

1. Acceptance of Terms

Welcome to the website of TrustBridge Capital™, LLC ("TrustBridge," "Company," "we," "our," or "us").

These Terms of Use ("Terms") govern your access to and use of the TrustBridge Capital website located at www.trustbridgecap.com, together with all related websites, customer portals, online applications, document submission platforms, digital tools, and services owned or operated by TrustBridge Capital (collectively, the "Website").


By accessing, browsing, or using the Website, submitting information to TrustBridge Capital, or utilizing any products or services made available through the Website, you acknowledge that you have read, understand, and agree to be legally bound by these Terms, as well as our Privacy Policy and any other policies incorporated herein by reference.


If you do not agree to these Terms, you must immediately discontinue use of the Website.

 By accessing or using the Website, you consent to receive communications and notices from TrustBridge Capital electronically, including by email, secure online portal, SMS text message, or other electronic means, to the extent permitted by applicable law.  You acknowledge that electronic communications may satisfy any legal requirement that such communications be in writing.  Nothing contained in these Terms modifies, supersedes, or replaces any separately executed eConsent Agreement, loan agreement, or other written agreement between you and TrustBridge Capital. In the event of any conflict, the applicable written agreement shall control to the extent permitted by law. 


TrustBridge Capital reserves the right to modify these Terms at any time. Any modifications become effective upon posting unless otherwise required by applicable law. Your continued use of the Website after revised Terms are posted constitutes your acceptance of those revisions.

 

2. Eligibility

The Website and Services offered by TrustBridge Capital are intended solely for individuals and business entities seeking lawful business-purpose financing and related commercial services.


By accessing or using the Website, you represent and warrant that:

  • You are at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements. 
  • You are accessing the Website for lawful purposes and in compliance with all applicable federal, state, local, and international laws and regulations. 
  • Any information you submit to TrustBridge Capital is true, accurate, current, complete, and not misleading. 
  • You are authorized to act on behalf of yourself or any individual, business entity, trust, limited liability company, corporation, partnership, or other organization that you represent. 
  • Your access to and use of the Website does not violate any contractual obligation, court order, law, regulation, or other legal restriction applicable to you. 


TrustBridge Capital reserves the right, in its sole discretion, to deny, restrict, suspend, or terminate access to the Website or Services at any time, with or without notice, for any lawful reason, including where TrustBridge Capital believes a user has violated these Terms, provided false or misleading information, engaged in unlawful activity, or otherwise poses a legal, regulatory, operational, reputational, or financial risk to the Company.


Nothing contained on the Website shall be construed as creating any right to access, use, receive financing from, or otherwise establish a business relationship with TrustBridge Capital.


 3. Permitted Use of the Website

TrustBridge Capital grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Website solely for lawful business purposes and in accordance with these Terms.

You agree to use the Website only for legitimate purposes related to evaluating, applying for, obtaining, servicing, or otherwise conducting business with TrustBridge Capital.


You agree that you will not, directly or indirectly:

  • Use the Website for any unlawful, fraudulent, deceptive, or unauthorized purpose. 
  • Submit false, misleading, incomplete, or inaccurate information. 
  • Misrepresent your identity or authority to act on behalf of another individual or entity. 
  • Attempt to gain unauthorized access to any portion of the Website, servers, databases, networks, user accounts, or systems. 
  • Interfere with or disrupt the operation, security, or integrity of the Website or any related systems.

  • Use the Website or any information obtained through the Website for the benefit of a competitor or in any manner that competes with TrustBridge Capital. 
  • Violate any applicable law, regulation, contractual obligation, or third-party right while using the Website. 


TrustBridge Capital reserves the right, in its sole discretion and without prior notice, to suspend, restrict, terminate, or permanently prohibit access to the Website by any person who violates these Terms or whose conduct the Company reasonably believes may expose TrustBridge Capital to legal, regulatory, operational, cybersecurity, financial, or reputational risk.


Nothing contained in these Terms shall be construed as granting any ownership interest, license, or other rights in or to the Website except for the limited right of access expressly granted herein.


 4. No Offer, Commitment, or Guarantee of Financing

The information provided on the Website is for general informational purposes only and is intended to assist prospective borrowers, brokers, referral partners, investors, and other users in understanding the products and services offered by TrustBridge Capital.


Nothing contained on the Website, including without limitation loan programs, interest rates, pricing examples, loan terms, product descriptions, calculators, prequalification tools, marketing materials, educational content, correspondence, or other information, constitutes or shall be construed as:

  • A commitment to lend; 
  • A loan approval or credit decision; 
  • A financing commitment; 
  • A guarantee of loan terms, pricing, rates, fees, proceeds, or availability; 
  • A binding offer; 
  • A contractual obligation; or 
  • A promise that any application will be approved or funded. 


All loan products, pricing, terms, conditions, eligibility requirements, interest rates, fees, loan amounts, and program availability are subject to change at any time without prior notice and remain subject to underwriting, due diligence, property review, appraisal, verification of information, investor requirements, regulatory requirements, credit approval, and final approval by TrustBridge Capital.

Submission of an inquiry, loan application, supporting documentation, or payment of any fee does not create a lender-borrower relationship, obligate TrustBridge Capital to approve or fund any transaction, or constitute acceptance of any application.


A binding obligation shall exist only upon the execution of definitive written loan documents by all required parties and satisfaction of all conditions precedent established by TrustBridge Capital.

TrustBridge Capital expressly reserves the right, in its sole discretion and to the fullest extent permitted by applicable law, to approve, decline, suspend, modify, restructure, or withdraw any financing request or transaction at any time prior to the execution and funding of definitive loan documents.

 

5. Intellectual Property Rights

The Website and all content made available through the Website, including but not limited to all text, graphics, logos, trademarks, service marks, trade names, product names, loan program names, icons, images, videos, software, code, user interfaces, designs, layouts, calculators, forms, documents, marketing materials, downloadable content, databases, and all other proprietary materials (collectively, the "Content") are owned by or licensed to TrustBridge Capital and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.


TrustBridge Capital™, EasyFlip™, RentFlow™, BuildSmart™, QuickBridge™, BlendBridge™, ProComm™, HomeFlex™, CapitalConnect™, and all other names, logos, slogans, branding, and product identifiers used by TrustBridge Capital are proprietary trademarks, service marks, or trade names of TrustBridge Capital unless otherwise indicated. Nothing contained on the Website grants any license or right to use any trademark, service mark, logo, or other proprietary material without the prior written consent of TrustBridge Capital.


Except as expressly permitted by these Terms, you may not:

  • Copy, reproduce, republish, distribute, display, transmit, modify, adapt, create derivative works from, sell, license, or commercially exploit any Content. 
  • Remove, alter, or obscure any copyright, trademark, proprietary notice, or other ownership designation. 
  • Use the Content in connection with any competing business or service. 
  • Use the TrustBridge Capital name, trademarks, logos, branding, or proprietary materials in any advertisement, website, social media platform, marketing campaign, artificial intelligence system, or other publication without our prior written consent. 


Any unauthorized use of the Website or its Content may violate intellectual property laws and may result in civil and criminal penalties to the fullest extent permitted by law.

TrustBridge Capital reserves all rights not expressly granted in these Terms.


6. Third-Party Websites, Services, and Content

For your convenience, the Website may contain links to third-party websites, applications, portals, software, products, services, or resources that are not owned, operated, or controlled by TrustBridge Capital.


The inclusion of any third-party link or reference does not constitute or imply any endorsement, sponsorship, recommendation, approval, partnership, or representation by TrustBridge Capital regarding any third party, its products, services, content, policies, or business practices unless expressly stated in writing.


TrustBridge Capital is not responsible for the availability, accuracy, legality, security, privacy practices, content, products, services, or performance of any third-party website or resource. Your access to and use of any third-party website or service is solely at your own risk and subject to the terms, conditions, and privacy policies of the applicable third party.


TrustBridge Capital disclaims all responsibility and liability for any loss, damage, cost, expense, claim, or liability arising out of or relating to your access to, use of, or reliance upon any third-party website, application, product, service, or content.


Nothing contained on the Website shall be interpreted as creating any agency, partnership, joint venture, fiduciary relationship, or other legal relationship between TrustBridge Capital and any third party unless expressly set forth in a written agreement executed by TrustBridge Capital.


 7. Disclaimer of Warranties

THE WEBSITE, ALL CONTENT, SERVICES, INFORMATION, CALCULATORS, TOOLS, DOCUMENTS, MATERIALS, AND OTHER FEATURES MADE AVAILABLE BY TRUSTBRIDGE CAPITAL ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS.


TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TRUSTBRIDGE CAPITAL DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION:

  • Any financing request will qualify for any particular loan product or result in loan approval. 


You acknowledge and agree that your use of the Website and reliance upon any information provided through the Website is solely at your own risk.


No oral or written statement, communication, advice, marketing material, demonstration, estimate, illustration, loan scenario, calculator result, or other information provided by TrustBridge Capital or any of its employees, officers, representatives, brokers, agents, contractors, or affiliates shall create any warranty or representation unless expressly contained in a written agreement executed by an authorized officer of TrustBridge Capital.


Nothing contained on the Website shall modify, expand, or supersede any warranty, representation, covenant, or obligation expressly contained in a fully executed written agreement between TrustBridge Capital and another party.

 

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUSTBRIDGE CAPITAL, ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, INVESTORS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, REPRESENTATIVES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF BUSINESS OPPORTUNITIES, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE, SYSTEM FAILURE, OR ANY OTHER COMMERCIAL OR ECONOMIC LOSS ARISING OUT OF OR RELATING TO:

TO THE FULLEST EXTENT PERMITTED BY LAW, TRUSTBRIDGE CAPITAL'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00), REGARDLESS OF THE FORM OF ACTION OR THE THEORY OF LIABILITY.


THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY REGARDLESS OF WHETHER THE CLAIM IS BASED UPON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, EQUITY, OR ANY OTHER LEGAL THEORY, EVEN IF TRUSTBRIDGE CAPITAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.


SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE FOREGOING LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.


 9. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless TrustBridge Capital™, LLC, together with its parent companies, subsidiaries, affiliates, investors, members, managers, officers, directors, employees, agents, contractors, representatives, successors, and assigns (collectively, the "Indemnified Parties"), from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, judgments, settlements, penalties, fines, losses, costs, and expenses (including reasonable attorneys' fees, expert fees, court costs, and litigation expenses) arising out of or relating to:

  • Your access to or use of the Website or Services; 
  • Your violation of these Terms; 
  • Your violation of any applicable law, regulation, or third-party right; 
  • Any false, inaccurate, incomplete, fraudulent, or misleading information submitted by you; 
  • Any negligent, fraudulent, intentional, or unlawful act or omission by you; 
  • Your misuse of the Website, Content, or Services; 
  • Any dispute between you and another user, broker, borrower, lender, investor, vendor, or third party arising from your use of the Website or Services; or 
  • Your infringement or alleged infringement of any intellectual property, privacy, publicity, contractual, or other legal right of any person or entity. 


TrustBridge Capital reserves the right, at its sole discretion and at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to fully cooperate with TrustBridge Capital in the defense of such matter.


Your obligations under this Section shall survive the termination of these Terms, your use of the Website, and any relationship between you and TrustBridge Capital.


 10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.


To the fullest extent permitted by applicable law, any action, suit, or proceeding arising out of or relating to these Terms or the use of the Website shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and each party irrevocably submits to the exclusive jurisdiction and venue of such courts.


You waive any objection based upon lack of personal jurisdiction, improper venue, or forum non conveniens to the fullest extent permitted by applicable law.


Nothing contained in these Terms shall limit the right of TrustBridge Capital to seek temporary restraining orders, preliminary injunctions, permanent injunctions, or other equitable relief in any court of competent jurisdiction to protect its confidential information, intellectual property, proprietary rights, business interests, or other legal rights.

  

11. No Fiduciary Relationship

Your use of the Website, submission of information to TrustBridge Capital, participation in discussions regarding potential financing, or receipt of any communication from TrustBridge Capital shall not create a fiduciary, advisory, agency, partnership, joint venture, employment, or other special relationship between you and TrustBridge Capital.


TrustBridge Capital acts solely as an independent commercial lender and financing provider. Any information provided through the Website, including loan program descriptions, educational materials, calculators, loan scenarios, estimates, marketing materials, correspondence, or other communications, is provided for general informational purposes only and should not be construed as legal, tax, accounting, investment, financial, or other professional advice.


You acknowledge and agree that you are solely responsible for evaluating your own financial condition, business objectives, and financing decisions. TrustBridge Capital recommends that you consult with your own legal counsel, accountants, tax advisors, financial advisors, and other qualified professionals before entering into any financing transaction.


No inquiry, application, discussion, negotiation, prequalification, term sheet, proposal, correspondence, or other interaction with TrustBridge Capital shall create any fiduciary duty, advisory relationship, or other obligation beyond those expressly set forth in a definitive written agreement executed by an authorized officer of TrustBridge Capital.


Nothing contained in these Terms or on the Website shall be interpreted as creating any duty on the part of TrustBridge Capital to act in your best interest or to provide advice regarding the suitability of any financing product, transaction, investment, or business decision.

 

12. Force Majeure

TrustBridge Capital shall not be liable for any delay, interruption, failure to perform, or inability to perform any obligation arising out of or relating to the Website or Services where such delay, interruption, or failure results, in whole or in part, from events or circumstances beyond its reasonable control.


Such events may include, without limitation:

  • Acts of God; 
  • Natural disasters; 
  • Fire, flood, earthquake, hurricane, tornado, or other severe weather events; 
  • Epidemics, pandemics, or public health emergencies; 
  • War, terrorism, civil unrest, riots, or acts of public enemies; 
  • Labor disputes, strikes, lockouts, or shortages of labor; 
  • Utility failures, power outages, or telecommunications interruptions; 
  • Internet service disruptions or failures of third-party technology providers; 
  • Cybersecurity incidents, ransomware attacks, data breaches, denial-of-service attacks, or other malicious cyber events; 
  • Government actions, regulatory changes, court orders, or changes in applicable law; 
  • Banking disruptions, payment network failures, or failures of financial institutions; 
  • Acts or omissions of third-party vendors, service providers, investors, warehouse lenders, capital providers, or other third parties upon whom TrustBridge Capital reasonably relies; or 
  • Any other event beyond the reasonable control of TrustBridge Capital. 


During the existence of any such event, TrustBridge Capital may suspend, delay, modify, or discontinue all or any portion of the Website or Services without liability to the fullest extent permitted by applicable law.


Nothing in this Section shall be construed as requiring TrustBridge Capital to continue operating the Website or providing any particular product or service where circumstances reasonably prevent or materially impair its ability to do so.

 

13. Reservation of Rights

Except as expressly provided in these Terms, no right, license, ownership interest, or other authorization is granted to you, whether by implication, estoppel, waiver, or otherwise.

TrustBridge Capital expressly reserves all rights, powers, privileges, remedies, and interests not expressly granted under these Terms or applicable law.


The failure of TrustBridge Capital to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, nor shall any partial exercise of any right preclude any further exercise of that right or any other right available to TrustBridge Capital.


All rights and remedies available to TrustBridge Capital under these Terms, at law, or in equity are cumulative and may be exercised independently or concurrently.


Nothing contained in these Terms shall be construed as limiting any legal or equitable rights, remedies, defenses, or protections available to TrustBridge Capital under applicable law.


 14. Severability

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, illegal, unenforceable, or otherwise incapable of being enforced under applicable law, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions of these Terms shall remain valid, binding, and in full force and effect.


To the extent permitted by applicable law, any invalid, illegal, or unenforceable provision shall be deemed modified only to the minimum extent necessary to make it valid and enforceable while preserving its original intent.


The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms.

 

15. Waiver

No failure, delay, or partial exercise by TrustBridge Capital of any right, remedy, power, or privilege under these Terms shall operate as or be construed as a waiver of that right, remedy, power, or privilege.


Any waiver by TrustBridge Capital shall be effective only if made expressly in writing and signed by an authorized officer of TrustBridge Capital. No waiver of any provision of these Terms, or of any breach or default, shall constitute or be construed as a waiver of any other provision, or of any subsequent or continuing breach or default.


The exercise of any right or remedy by TrustBridge Capital shall not preclude the exercise of any other right or remedy available under these Terms, at law, or in equity.


 16. Entire Agreement

These Terms of Use, together with the TrustBridge Capital Privacy Policy, SMS Terms & Conditions, eConsent Policy, and any additional policies or legal notices expressly incorporated by reference (collectively, the "Website Policies"), constitute the entire agreement between you and TrustBridge Capital with respect to your access to and use of the Website.
